This document is an electronic record in the form of an electronic contract formed under Information Technology Act, 2000 and Rules made thereunder and the amended provisions pertaining to electronic documents / records in various statutes as amended by the Information Technology Act, 2000. This document shall be read in conjunction with PhonePe’s general Terms and Conditions (“Terms”) which includes without limitation PhonePe’s Privacy Policy (“Privacy Policy”) and other policies/terms and conditions made available on the PhonePe Platforms, as may be amended from time to time. All capitalised terms used herein but not otherwise defined shall have the meanings ascribed to them in the Terms.

Introduction

The Unified Payments Interface (“UPI”) is a payment platform built by the National Payments Corporation of India that, among other things, allows instant online payments between the Bank Accounts/Payment Accounts (defined below) of any two parties. UPI offers an architecture and a set of standard API specifications to facilitate these online payments. It aims to simplify and provide a single interface across all NPCI systems besides creating interoperability and a superior customer experience.

These terms and conditions of use of PhonePe UPI (“UPI ToU”) regulate the payments under UPI, a payment service platform developed by NPCI, an umbrella organisation incorporated in 2008 and acting as the settlement/clearing house/regulatory agency for UPI services. The PhonePe App (defined below) is an application software, which connects to UPI, is being offered by PhonePe Limited (Formerly known as PhonePe Private Limited) (“PhonePe/ We/ Us/Our”) a company incorporated under the Companies Act, 1956 with its registered office at Office-2, Floor 5, Wing A, Block A, Salarpuria Softzone, Bellandur Village, Varthur Hobli, Outer Ring Road, Bangalore South, Bangalore, Karnataka, India, 560103, through notified Payment Service Providers/PSP/ PSP Banks (defined below). The UPI services are being offered under the brand “PhonePe” (“PhonePe UPI”).

PhonePe is a TPAP (defined below) authorized by NPCI to facilitate payments through sponsor PSP Bank(s) namely Yes Bank Ltd., Axis Bank Ltd. and ICICI Bank Ltd. PhonePe is a service provider in the UPI payment ecosystem, and We participate in UPI through the PSP Banks.

In case of any conflict between the Terms or this UPI ToU, this UPI ToU shall prevail to the extent of such conflict. We may amend the UPI ToU at any time by posting an updated version on PhonePe’s website(s) and/or PhonePe App(s). The updated version of these UPI ToU shall take effect immediately upon posting. It is Your responsibility to review these UPI ToU for using the PhonePe UPI services, and periodically, for updates / changes. “You”, “Yours”, “Yourself”, “End User”, “Customer”, “User” shall mean the individual who uses PhonePe UPI through the PhonePe App to send and receive payments.

Definitions

“Applicable Law” shall mean all applicable laws, rules, regulations, guidelines, statutory or government notifications including, Foreign Exchange Management Act, 1999 (“FEMA”), guidelines framed by NPCI, Reserve Bank of India (“RBI”) or any other regulator, that is applicable to payment system participants for the provision of UPI services as well as the applicable rules and regulations issued by payment system participants.

“Bank Account / Payment Account” shall mean any bank account or any other payment instruments offered by a regulated entity where money can be held, and/or debited from or credited to. These accounts are fundamental to executing transactions using PhonePe UPI.

“Biometric Credentials” shall mean unique physical traits like Your fingerprints or facial features which can be used to verify Your identity for authorizing a payment done using PhonePe UPI through the PhonePe App. These Biometric Credentials are the credentials stored by You on Your device.

“Issuer(s)” shall mean banks, non-banking financial companies and other financial institutions, regulated by the RBI, that issue, offer, enable or maintain the User’s Bank Account or Payment Account used for availing PhonePe UPI.

“NPCI” shall mean the National Payments Corporation of India, which is an RBI authorized payment system operator. NPCI owns and operates the UPI payment system.

“Payment Service Provider/ PSP/ PSP Bank” shall mean a banking company authorized to act as a Payment Service Provider under the UPI framework. PSP engages TPAPs to provide UPI services to the End Users.

“PhonePe Account” shall mean the account that You create when You sign-up/register with PhonePe. This account allows You to access PhonePe Platform (defined below), browse through the PhonePe Services (defined below), make payment using PhonePe UPI and access other features enabled by Us on PhonePe App.

“PhonePe App” shall mean the mobile application(s) hosted by PhonePe/ PhonePe Entities for providing PhonePe Services to its Users, including merchants and service providers.

“PhonePe Platform” refers to any platform, owned/subscribed/used by PhonePe Limited (Formerly known as PhonePe Private Limited) or any other PhonePe Entities, including but not limited to websites, mobile applications, devices, URLs/links, notifications, chatbot, or any other communication medium, used to provide the PhonePe Services to its Users.

“PhonePe Services” shall include all services extended / to be extended by PhonePe and/or PhonePe Entities including without limitation in relation to Prepaid Payment Instruments (“PPIs”), gift cards, payment aggregation/ gateway, recharges and bill payments, insurance, mutual funds, digital gold,  etc.

“TPAP” shall mean a Third-Party Application Provider, which is an entity that provides the UPI compliant app(s) to the End Users to facilitate UPI based payment transactions.

“UPI PIN” shall mean Personal Identification Number which a User sets up as authorization credentials, to authorise the Issuer for debiting the User’s Bank Account. It will be 4-6 digit numeric PIN only.

“UPI Number” shall mean an 8–10-digit number, without any UPI handle (@PSP), which can be chosen by You, which will act as a proxy to Your VPA (defined below). By default, Your 10-digit mobile number can be configured as Your UPI Number by PhonePe, or any other 8–10-digit number chosen by You.

“VPA” shall mean a unique Virtual Payment Account, registered with NPCI that can be linked with Your Bank Account.

Registration

PhonePe UPI is offered via the PhonePe App to its registered Users having a PhonePe Account. You need to have Your own Bank Account/Payment Account linked with Your active mobile number in order to register and access PhonePe UPI.

The registration process is a standard process which is defined and governed by NPCI under UPI guidelines and may change from time to time. PhonePe in the capacity of a TPAP is responsible for implementing the process as notified by NPCI from time to time. You understand that the registration process may include access to Your mobile network and sending a unique SMS using Your phone to verify, validate, register and link Your Bank Account on UPI and to create a VPA.

PhonePe does not store the Bank Account/Payment Account number linked to Your VPA, unless otherwise permitted under Applicable Laws. Further, VPA can be used to:

  • Pay at merchant locations using QR code through Your PhonePe App.
  • Pay online on merchant websites/Apps.
  • Make payments for use of PhonePe Services,.

The details provided by You as part of the UPI registration process, which includes Your name, mobile number and banking information, will be shared and maintained at PSP Bank’s and NPCI’s secure library, and You consent to such information sharing, and authorize PhonePe, PSP Banks and NPCI to store, use and maintain this data as permitted under Applicable Laws.

Multiple VPA(s) and Bank Account(s):

As a registered User of PhonePe App, You will have an option to link multiple Bank Account(s)/ Payment Account(s) on the PhonePe App and enable VPA(s) for each such Bank Account. You can link a single Bank Account with multiple VPA(s). You have the option to select a primary VPA to process the transactions, however secondary VPAs, as provided by PhonePe, could be used for seamless experience whenever primary VPA servers are facing any issue. You also have the option to identify and change your default Bank Account, in which inward funds can be received.

NRE/NRO Bank Account Linked UPI

Non-Resident Indian (“NRI”) Users may use/access the PhonePe App by registering through their non-Indian mobile numbers linked with Non-Resident External (“NRE”) / Non-Resident Ordinary (“NRO”) Bank Accounts held with the banks in India. NRI Users must ensure that their Indian NRE/NRO Bank Accounts are held and operated in accordance with Applicable Laws and must keep their KYC updated at all times. All data/information, including personal and payment data of the NRI Users will be stored, accessed and processed in accordance with the Applicable Laws. 

User Responsibility & Obligations

While You register with, use and/or transact using PhonePe UPI, You are required to ensure compliance with the following:

  1. You are solely responsible for linking Your correct Bank Account/Payment Account.
  1. Since Your mobile number is treated as the primary identifier, Your mobile number needs to be updated with the Bank Account/Payment Account linked to the PhonePe App in case of any changes.
  1. If You change the mobile number registered with Your PhonePe Account, You will have to re-register Your new mobile number with PhonePe. To re-enable the Service, You need to register Your new mobile number with Your Issuer as well.
  1. You are solely responsible to keep Your OTP, UPI PIN and Bank Account/Payment Account related details confidential. Sharing such information with others may lead to unauthorized usage, for which PhonePe shall not be responsible.
  1. You shall take full responsibility of the Bank Account/Payment Account and other details provided on the PhonePe App, as well as any payment request that You make and/or authorize via PhonePe UPI and any use of PhonePe App, including addition of beneficiary, typing and reviewing VPAs and validating intended recipients, and We do not verify the correctness of information that You enter on the PhonePe App.
  1. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete, or if We have reasonable grounds to suspect that any information is untrue, inaccurate, not current or incomplete, or not in accordance with this UPI ToU or the Terms, We shall have the right to indefinitely suspend or terminate or block access to Your PhonePe Account, or use of PhonePe App or PhonePe Services or PhonePe UPI, or take such other action as necessary.
  1. We shall ensure that all confidential data pertaining to Your transactions, Bank Account/Payment Account details, and all other sensitive personal information available with us, are protected and kept confidential by employing best available protection standards. In addition to this UPI ToU, all data/ information shared by you will also be governed as per Our Privacy Policy.
  1. You agree that PhonePe, PSP Bank or any other system participants in UPI payment system shall not be liable for any delay in the completion of the funds transfer/ UPI transaction, or for any loss on account of error in the execution of the funds transfer by You.
  1. You are required to ensure availability of sufficient funds in Your Bank Account/Payment Account (s) in order to avoid transaction declines and charges (if any, as may be levied by the Issuer).
  1. You agree and understand that PhonePe will onboard You on the NPCI operated centralised mapper(s) as required by the NPCI, and as governed by circulars issued by NPCI including its circular on ‘Numeric UPI ID Mapper’, to enable You to  receive funds using a defined UPI Number. You agree and consent that Your onboarding on the NPCI operated centralised mapper(s) will be done by PhonePe on Your behalf, with Your explicit consent on the PhonePe App, within the defined and permitted structure of NPCI. This process shall be as per directives of NPCI, which shall include sharing Your UPI details (collected and maintained by PhonePe to provide UPI related services) with NPCI and linking of Your primary Bank Account / VPA assigned on the PhonePe App to Your UPI Number. This would enable You to accept payments against Your UPI Number. PhonePe will provide You an option to de-link the mapping of Your UPI Number processed on PhonePe App. You further agree to receive funds from other UPI users  and consent that PhonePe will facilitate such fund transfer transactions to Your linked  primary Bank Account through its partner PSP Banks.
  1. For certain Customers, in case Your UPI Number is linked/stored on the NPCI operated centralised mapper with a VPA issued by a bank/third party application provider other than PhonePe (“Third Party VPA”), then, PhonePe will settle funds to the Bank Account linked with such Third Party VPA. Accordingly, if a fund transfer was made to Your UPI Number, which is linked to a Third Party VPA, the amount will be settled to the Bank Account linked with a Third Party VPA.
  1. You further agree and understand that You will be able to port Your UPI Number from a Third Party VPA, to a VPA assigned on the PhonePe App, and have the same changed on the NPCI central mapper, by providing Your explicit consent for the same at any time, on the PhonePe App.
  1. You agree and understand that NPCI may implement limits on Your usage of UPI for non financial purposes like Balance Enquiry, etc. You hereby agree to be compliant by the such limits implemented by NPCI.
  1. Subject to Applicable Laws, all transactions processed through PhonePe UPI are non-refundable to the You by PhonePe and are non-reversible by You through PhonePe UPI.

Payments via PhonePe UPI

PhonePe UPI can be used for person-to-person money transfers or to purchase products and services from offline or online merchants. Your UPI PIN needs to be entered on Your mobile/ device to authorize payments using PhonePe UPI, unless otherwise allowed by PhonePe. You need to ensure that You are connected to the internet at the time of making any transaction, unless otherwise enabled. However, this facility may not be extended by PhonePe for all transactions.

While making payments for PhonePe Services on the PhonePe Platform, You may make payments using PhonePe UPI.

Where PhonePe UPI is one of the payment options available to You for merchant payments, We assume no responsibility for the products / services purchased using PhonePe UPI, and any liability thereof is expressly disclaimed.

UPI transactions are subject to transaction limits that may be set by PhonePe, User, Issuer, the payment participants, or as may be prescribed under the provisions of Applicable Law. Further, PhonePe, Issuer, PSP Bank or other payment participants may also reject/suspend transactions (in whole or in part) based on their respective policies and assessment.

We will endeavour to make Your transaction details available within the PhonePe App – “History” section. You are required to review all transactions, and in case You identify any error or unauthorised transaction, You are required to notify this immediately to PhonePe customer support by selecting the respective transaction from the “History” section, or as per the  grievance redressal mechanism detailed in PhonePe’s Grievance Policy. Please however note that Your transactions will be recorded with Your Issuer basis the Bank Account/ Payments Account being used by You, and You are required to reach out to Your Issuer for any information/ records/ statements You may require in relation to UPI transactions undertaken by You via such Bank Account/ Payments Account.

UPI – OS Native Biometric Authentication

UPI- OS native biometric authentication as a feature will enable the Users to make UPI payments by authorizing the transactions using Biometric Credentials. The payment flow is similar to normal UPI transactions, but the authorization is done by the User using Biometric Credentials instead of a UPI PIN. This feature is made available by select Issuers only, and You will be able to view this option on the PhonePe App only if Your Issuer has enabled this feature. Your usage of this feature will be subject to Applicable Laws as well as the terms and conditions of Your Issuer, and these UPI ToUs.

To use this feature, You will have to activate Your Biometric Credentials by using Your UPI PIN in the relevant section of the PhonePe App. Once the feature is activated, You can authorize UPI payments using Your Biometric Credentials, subject to limits prescribed by NPCI.

You further understand that any Biometric Credential stored on your device can be used to authorize the UPI transaction, and that You will be solely responsible for managing the usage of Your Biometric Credentials.

You may also disable this feature, at any time, by following the steps/procedure prescribed on the PhonePe App. This feature will be automatically disabled if You change Your device, or modify Your biometric credentials registered on Your device. You can reactivate the UPI- OS native biometric authentication feature post such deactivation via the PhonePe App.

UPI International

Wherever feasible and in select locations, UPI international as a feature will enable Users who travel abroad, to pay merchants in such countries, using UPI. The payment flow is similar to normal UPI merchant transactions, where a User scans a QR (UPI Global QR, local QR, static or dynamic QR, as the case may be), enters the amount, and authorizes it with a UPI PIN.

To use this feature, Users will have to activate their international payments using the UPI PIN. Activation can also be done from any location i.e., within India or outside India. If Users scan an international QR before activation, then they will be asked to complete the activation of UPI international first, and then complete their payment. Based on the User’s request, PhonePe will activate the Bank Accounts opted by the Users for UPI international transactions. Once enabled by a User, UPI international will remain active only for a period of 3 months, i.e., activation will be disabled on expiry of 3 months by default. Users may also deactivate this feature in their settings on the PhonePe App prior to expiry of 3 months, through UPI PIN authentication process. Users can reactivate the UPI international feature at any time, post such deactivation. 

For all UPI international transactions, the amount will be entered in the local currency of the country where the transaction is taking place. In real time, the amount will also be shown in Indian Rupees based on the forex rates and mark up. Transaction history on the PhonePe App will have an identifier of UPI international payments with payment details of each transaction. You consent to all charges applicable for UPI international transactions, including any processing fee that is levied by Your Issuer.

UPI Foreign Inward Remittance

UPI foreign inward remittance as a feature is available in select countries and will enable You to receive payments from payers located in such select countries, using their own mobile application. You will have to enable this feature under the “permissions” section of the PhonePe App. By enabling this feature you have provided your consent PhonePe’s PSP Banks to share Your personal information including VPA, account number, banking name, IFSC code etc., with international payment/remittance partners to enable receipt of cross border payment, through Your PhonePe App. You may revoke Your consent anytime, through the “permissions” section on Your PhonePe App.

You further understand and agree that You shall be solely liable to comply with all the Applicable Laws, including laws by RBI on foreign inward remittances.

Disclaimers and additional terms pertaining to UPI foreign inward remittance: –

  • All foreign inward transaction history will be visible in Your Bank Accounts only. Foreign inward transaction history is not visible on Your PhonePe App. PhonePe is not liable for providing any confirmation, messages, transactions alerts against success or failure of any transaction. Please reach out to Your Issuer for any such queries or complaints.
  • You shall abide by anti-money laundering and counter terrorism financing regulations and guidelines.
  • PhonePe does not verify, check or monitor any transactions or payers under foreign inward transactions.

For all foreign inward transactions, the amount will be paid by the payer in their local currency and received by You (i.e. payee) in Indian currency only. The value of the transaction will be determined by the applicable currency exchange rates of Your receiving Bank Account/ Issuer, and PhonePe is not involved in the said conversion in any manner. Please reach out to Your Issuer for any questions/ issues in this regard.

UPI Lite

We may, subject to Applicable Laws, including guidelines issued by the RBI and/or NPCI from time to time, enable You to avail ‘UPI Lite’ on the PhonePe App. UPI Lite is an ‘on-device wallet’ for small value transactions, enabled by NPCI. All Issuers may not enable/support UPI Lite. You will be able to enable only one Bank Account that is linked on Your PhonePe App for UPI Lite (hereinafter referred to as “UPI Lite Facility”). You agree and understand that in order to avail and/or continue using the UPI Lite Facility, You will have to allow PhonePe to enable the application lock facility on Your PhonePe App. Accordingly, if disabled, You are required to immediately modify Your phone settings, to enable PhonePe to lock Your PhonePe App, in order to use or continue using the UPI Lite Facility. Once enabled, the PhonePe App can thereafter be unlocked by You, using any of the enabled modes including face id, biometrics, or by the passcode created by You for securing the PhonePe App etc.

In order to enable the UPI Lite Facility, You will be required to click/tap on the specific section on the PhonePe App and add funds into the UPI Lite Facility. By clicking/tapping on the specific section on the PhonePe App, You provide Your consent to enable the UPI Lite Facility. The funds can be added only via Your Bank Account linked to UPI Lite on the PhonePe App using Your UPI PIN. You will be able to track the status of each transaction via UPI Lite Facility on the PhonePe App. You may at any time withdraw the unused balance from Your UPI Lite, back to Your source Bank Account linked to UPI Lite on the PhonePe App. Any amount added to the UPI Lite will be non-interest bearing. The UPI Lite Facility can solely be used for debit transactions. All credits transactions to UPI Lite (including refunds, etc.) will be processed online in the User’s Bank Account.  To make payments via UPI Lite Facility, You will not be required to enter a UPI PIN. However, there would be limits that would be applicable with respect to the transactions via UPI Lite Facility. The applicable transaction limits will be as follows, or such other limits as maybe determined by NPCI from time to time:

  • Every transaction using UPI Lite Facility will be limited to a maximum of INR 1,000/-.
  • The cumulative value of all transactions using UPI Lite Facility in a day will be limited to a maximum of INR 10,000/-.
  • The maximum balance that can be held in UPI Lite at any point in time will be limited to INR 5,000/-.

The above stated transaction limits may be modified, without any prior notice.

You will have the right to disable the UPI Lite Facility, at any time, by following the steps/procedure prescribed on the PhonePe App. Once the UPI Lite Facility is disabled, the balance funds will be credited automatically into Your linked Bank Account.

Before changing Your mobile device from one operating system to another (i.e from android to iOS or vice versa), You must disable UPI Lite Facility from such mobile device as per the steps prescribed on the PhonePe App. This step is not required if You are changing your mobile device to the same operating system as Your earlier device. In case You fail to disable UPI Lite Facility from Your old mobile device, You may not be able to use Your UPI Lite Facility balance in Your new mobile device and You will have to reach out to Your Issuer for moving Your UPI Lite Facility available balance to Your linked Bank Account. PhonePe shall not be liable in this regard.

UPI- ATM -Interoperable Cardless Cash Withdrawal

We may enable You to opt for cardless cash withdrawal facility at selected Automated Teller Machines (“ATM(s)”) based on these terms (“Facility”). In order to avail this Facility, You need to fulfil certain criteria as prescribed under Applicable Laws and/or as required by the Issuer, such as (i) be a customer of an eligible bank enabled for UPI-ATM Facility, (ii) use such ATM which is enabled for this Facility; (iii) register with PhonePe UPI (in order to use UPI as a payment option for this Facility); and/or (iv) other criteria as defined by NPCI or RBI or Issuer (as the case may be).

If the above-mentioned criteria are fulfilled, and once You are present at such eligible ATM to withdraw cash, You would have an option to select “UPI cash withdrawal” at such eligible ATM, and enter the withdrawal amount. After entering the required amount, a single use dynamic QR code will be displayed on the ATM screen. You would be required to scan the QR code using the PhonePe App via Your registered VPA, and select Your Bank Account from where You want to withdraw cash.

On selection of the above, You will be asked to authorize the transaction using Your UPI PIN on Your PhonePe App. On successful authentication, a confirmation screen will appear on Your PhonePe App and the ATM machine. The cash from such ATM will be dispensed and You will be prompted on the ATM screen to collect the cash (and will be further notified about the debit from Your Bank Account by Your Issuer).

In case Your money is debited from Your Bank Account and the transaction is unsuccessful for any reason(s), You must reach out to Your Issuer for resolution of the issue and/or for reversal of such amount debited from Your account. PhonePe shall not be liable or responsible in this regard.

Please note that You cannot leave the ATM unattended until the cash is dispensed and collected by You from such ATM. You will be subject to such transaction limit(s) to withdraw cash as provided by NPCI / RBI, or Your Issuer (which may be modified from time to time without prior notice to You). Further, You can view the transactions completed through this Facility, on Your history section within Your PhonePe App as well as in Your Bank Account statement.

You agree: (i) PhonePe is only enabling this Facility through its PhonePe App and will not have visibility about the eligible ATMs for this Facility. It is Your responsibility to check whether the ATM is enabled for this Facility; (ii) You shall be liable to collect cash after getting the confirmation (via Your PhonePe App and ATM machine after successful authentication), and check that the notes received: (a) are not soiled, damaged or counterfeit, and (b) are of the same value which You had chosen to be withdrawn. PhonePe shall not be liable in this regard. Please raise any issues with regard to Your use of the Facility and withdrawal of cash, with Your Issuer directly.

Credit Line via PhonePe UPI

If Your Issuer has sanctioned/extended a credit line to You (“Credit Line”), We may enable You to link such Credit Line to PhonePe UPI in accordance with these terms. With respect to the linking of the Credit Line to PhonePe UPI, You will be required to complete certain steps as required on the PhonePe App. On successful linkage of Your Credit Line to PhonePe UPI, You would be able to make payment(s) to select merchant(s) that accept payments via Credit Line. Please note that You will only be able to link such Credit Line to Your PhonePe UPI which is associated with Your mobile number linked to Your PhonePe Account.

In the relevant section on the PhonePe App, You will be able to view the list of Issuers that are enabled by PhonePe for this facility. Once You select the Issuer that has sanctioned the Credit Line to You, PhonePe will fetch the details of Your Credit Line. For this purpose, You agree that Your mobile network may send an SMS using Your phone to verify the details in relation to Your Credit Line, and standard SMS charges may apply. On completion of the required steps, a unique VPA in relation to such Credit Line will be generated and such Credit Line would be linked to Your PhonePe App. You will have an option of adding multiple such Credit Line(s) which are sanctioned by Your Issuer, to PhonePe UPI on PhonePe App in the abovementioned manner. 

Post creation of a VPA, in order to set a UPI PIN to Your Credit Line linked to PhonePe App, You can choose from any of the mode(s) enabled by PhonePe. Based on the chosen mode to set a UPI PIN to the Credit Line linked on the PhonePe App, PhonePe may further ask You to verify the details associated to the Credit Line, including, without limitation, details of Your Bank Account, debit card, etc., and set a UPI PIN to Your Credit Line linked on PhonePe App.  

In order to make payment(s) to the select merchant(s) who accept Credit Line payment(s) using PhonePe UPI, You must authorize such payments by inserting Your UPI PIN or using Your Biometric Credentials. You agree that Your Credit Line linked to PhonePe UPI can be used to make payments to the enabled merchants only, and cannot be used to make any other payment(s) (including, but not limited to, transfers to individuals, Bank Account transfer/ cash withdrawal). 

Further, You agree that You shall be subject to: (i) the limit of the Credit Line mandated by Your Issuer, (ii) any transaction limit(s) applicable for UPI transactions; and (iii) any other terms and conditions as maybe applicable to Your use of Your Credit Line/ Issuer terms and conditions. 

Additionally, You will have the option of checking ‘available Credit Line balance’ in Your linked Credit Line via the PhonePe App. You understand that under this facility, We will display the ‘available credit line balance’ as provided by Your Issuer ‘as is’, and will not hold any liability/ responsibility for any discrepancies, error(s), inaccuracies in relation to the same. You can also view the history of the payment(s) made via Credit Line linked to PhonePe UPI under the ‘history’ section on the PhonePe App. 

You agree that: 

  1. The Credit Line is enabled by Your Issuer, based on the contractual terms agreed between You and the Issuer. PhonePe has no role in determining Your eligibility or the eligibility criteria for the Credit Line or to define the credit limit in relation to the Credit Line and/or for any risks in relation to the same. PhonePe is merely enabling You to link Your Credit Line to PhonePe UPI via PhonePe App, and We will not be liable for any risks associated in determining or verifying the contractual term(s) agreed between You and Your Issuer, or for any aspect in relation to such Credit Line.
  1. Any amount utilized by You using the Credit Line linked via PhonePe UPI under this facility, will be a payment towards the relevant enabled merchant only. You must repay the pending dues in relation to the Credit Line to Your Issuer within the due date mentioned in the bill(s) raised by the Issuer and as per the modes/ terms extended by Your Issuer(s) with respect to the same. PhonePe is not involved in the same.

Any disputes with respect to the transaction(s) authorized using Your Credit Line via PhonePe UPI on PhonePe App, will be dealt with as per the process provided in the section Grievance Redressal under the UPI ToU and any other process as may be prescribed by NPCI (from time to time) with respect to UPI transactions. Any refunds/reversals will be as per timelines applicable to UPI transaction(s) and/or as per merchant policy/ terms. In case any refunds of forward payment(s) paid by You via the Credit Line through PhonePe App, the same will get accrued/adjusted in the Credit Line as per the contractual terms agreed between You and Your Issuer.

UPI Circle

Subject to the applicable guidelines issued by the NPCI and/or the RBI from time to time and these terms and conditions, PhonePe may enable You to avail the ‘UPI Circle’ feature on the PhonePe App.

Through UPI Circle, a Primary User (defined below) can link his/her UPI ID with the UPI ID of a Secondary User (defined below), enabling such Secondary User to make UPI payments/transactions on behalf of the Primary User.

The linkage between the Primary User and Secondary User can be either on a Full Delegation (defined below) or Partial Delegation (defined below) basis as maybe made available on the PhonePe App.

The following words shall have the meanings as set below unless the context indicates otherwise.

  • “Full Delegation” means the mode using which a Primary User can authorize a Secondary User to initiate and complete UPI transactions without the need for the Primary User to authorize each transaction. In case of Full Delegation, Primary User can authorize the Secondary User  to complete UPI transactions up to the maximum limit prescribed by the NPCI for Full Delegation.
  • “Partial Delegation” means the mode using which a Primary User can authorize a Secondary User to initiate UPI transactions, and the Primary User authorizes each such transactions by entering his/her UPI PIN. In case of Partial Delegation, Primary User can authorize the Secondary User to complete UPI transactions up to the existing UPI limits.
  • “Primary User” means an individual using the PhonePe App for availing UPI based services/facilities who delegates authority to a Secondary User to make UPI payments using the Primary User’s bank account through the UPI Circle feature available on the PhonePe App. 
  • “Secondary User” means an individual who is either authorised by the Primary User or by a primary user using another UPI app to make UPI Circle transactions from the bank account of such Primary User.

You understand and agree that:

If You are a Primary User:

You shall be solely responsible for the verification and validation of the QR Code or the UPI ID of the Secondary User prior to linking his/her UPI ID with your UPI ID, and selection of the said Secondary User’s contact number from Your contact list, to ensure that the correct person is authorized as the Secondary User. 

You represent that you are aware of the identity of the Secondary User and you shall ensure that you and the Secondary User authorised by you, in the course of using UPI Circle, shall comply with the laws of India to the extent applicable.

You shall be solely responsible for authorising the Secondary User to make UPI transactions from your bank account linked to your UPI ID, whether via Full Delegation or Partial Delegation as the case maybe. Accordingly, you shall be solely responsible for all transactions and actions performed by the Secondary User added/ authorized by you under UPI Circle irrespective of whether the Secondary User is using UPI Circle on the PhonePe App or on any other UPI app. 

For linking of UPI ID of the Secondary User on a Full Delegation basis:

  • You shall be solely responsible to accurately identify the nature of the relationship between yourself and the Secondary User i.e., a family member (child/parent/spouse/sibling/other family member) or domestic or small business employee;
  • You understand, acknowledge and agree that prior to any linkage on Full Delegation basis, You shall be required to provide the details of the Secondary User (viz., document type and unique identification number of an officially valid document which establishes the identity of such Secondary User);
  • You confirm that you have obtained the necessary consent and authorization of the Secondary User to do the needful as per these terms and conditions, including for the sharing of the Secondary User’s information;
  • You confirm that the details of the Secondary User as provided by you are correct and authentic.
  • You further acknowledge and agree that You shall be solely responsible for the authenticity, accuracy and validity of any document and/or information provided by You in relation to the Secondary User;
  • You understand, acknowledge and agree that Full Delegation linkage is subject to the Secondary User’s consent: (i) confirming the details of such Secondary User shared by you; and (ii) to accept the Full Delegation linkage;
  • You shall indemnify, defend and hold harmless PhonePe from and against  any and all losses (including as a result of third-party claims) arising out of or in connection with the sharing by You of any personal data or information of any third party in connection with the UPI Circle feature.

A Primary User can delegate up to 5 Secondary Users, however a Secondary User can accept delegation only from 1 Primary User.

You can modify or revoke the authorization granted to a Secondary User for UPI Circle. You shall have access to and visibility on all the transactions made by the Secondary User under the UPI Circle via the PhonePe App and your Bank account statement.

You shall not hold NPCI or PhonePe responsible for any unauthorized transactions made by the Secondary User added/ authorized by you using UPI Circle feature. PhonePe does not verify, check or monitor the transactions made by the Secondary User using UPI Circle and will facilitate/ process transactions basis the authorization provided by You. 

PhonePe shall not be held liable to you or any secondary user or any other person for any losses, damages and liabilities which may arise as a result of any act or omission by you or by the Secondary User or by any other person in complying with applicable law or any terms and conditions applicable to UPI and UPI Circle. You understand that PhonePe assumes no responsibility for the products/services purchased/availed by the Secondary User added/ authorized by you irrespective of whether such Secondary User is using UPI Circle on the PhonePe App or on any other UPI app and all liability thereof is expressly disclaimed.

PhonePe reserves the right to suspend or terminate the authorization to any Secondary User, in the event no transactions are carried out through the PhonePe App, using UPI Circle, for such period as may be prescribed by PhonePe from time to time.

If You are a Secondary User:

You represent that, in the course of using UPI Circle, you shall comply with, the laws of India to the extent applicable and with the terms and conditions applicable to UPI and UPI Circle.

These terms and conditions are applicable to any Secondary User, who uses the PhonePe App, irrespective of whether You are onboarded by a Primary User or by the primary user of another UPI app.

By accepting the request to link your UPI ID to the UPI ID of the Primary User or to the primary user of another UPI app (who has added/authorized you) under UPI Circle, you hereby agree to share your name, phone number, UPI ID and transaction details with the Primary User or by the primary user of another UPI app (who has added/authorized you under UPI Circle) and other third parties involved in the processing of UPI Circle transactions.

You confirm and agree that your information and/or documents as provided by the relevant Primary User are correct and authentic.

You can de-link your UPI ID from the Primary User (who has added/authorized you under UPI Circle) at any time on the PhonePe App.

You shall indemnify, defend and hold harmless PhonePe from and against any and all losses (including as a result of third party claims) arising out of or in connection with UPI transactions undertaken by you using the PhonePe app in the capacity of a Secondary User.

Other Terms relating to UPI Circle:

At any point in time a maximum limit of INR 15000/- (Indian Rupees Fifteen Thousand) per month and INR 5000/- (Indian Rupees Five Thousand) per transaction is allowed for making transactions through UPI Circle in Full Delegation. 

Under Full Delegation, a Secondary User’s UPI ID can be linked with the Primary User’s UPI ID for a maximum term of 5 (Five) years and a minimum term of 1 (One) month.

The above-mentioned transaction limits and timelines may be modified by the NPCI and/or the RBI from time to time, without any prior notice.

After successful authorization and linking of the UPI ID of the Secondary User with the Primary User, there will be a cooling period of 30 (Thirty) minutes during which no transaction shall be allowed to be initiated. Further, during the first 24 hours of linking of the UPI Id of the Secondary User with the Primary User, a 24 hour transaction limit of INR 5000/- shall be in place post successful linking.

Existing UPI limits shall be applicable for Partial Delegation.

You agree and understand that in order to avail and/or continue using the UPI Circle feature, You will be required to allow PhonePe to enable the application lock facility on Your PhonePe App. Accordingly, if disabled, You are required to immediately modify Your phone settings, to enable PhonePe to lock Your PhonePe App, in order to use or continue using the UPI Circle feature. Once enabled, the PhonePe App can thereafter be unlocked by You, using a mode of Your choice i.e., face ID, biometrics, app code etc.

Notwithstanding anything to the contrary contained in this section, PhonePe reserves the right to suspend or terminate your access to UPI Circle services or require you to change your PhonePe App password or UPI PIN, at any time in its sole discretion and without any prior notice to you.

Except as provided above, all terms provided with respect to PhonePe UPI shall be applicable to UPI Circle. In case of a conflict between the terms under this section viz. UPI Circle and the Terms of Use of PhonePe UPI (excluding the UPI Circle section), the terms under this section shall prevail. Any disputes with respect to the transaction(s) authorized using UPI Circle shall be dealt with as per the process applicable for PhonePe UPI.

UPI AutoPay and Reserve Pay

General Information: UPI Participant’s Roles and Responsibilities

NPCI:

  1. NPCI owns and operates the UPI Platform.
  2. NPCI prescribes rules, regulations, guidelines, and the respective roles, responsibilities and liabilities of the participants, with respect to UPI. This also includes transaction processing and settlement, dispute management and clearing cut-offs for settlement.
  3. NPCI approves the participation of Issuers, PSP Banks, TPAPs, PPI issuers and other participants in UPI.
  4. NPCI provides a safe, secure and efficient UPI system and network.
  5. NPCI provides online transaction routing, processing and settlement services to members participating in UPI.
  6. NPCI can, either directly or through a third party, conduct an audit on UPI participants and call for data, information and records, in relation to their participation in UPI.
  7. NPCI provides the banks/ entities participating in UPI access to system where they can download reports, raise chargebacks, update the status of UPI transactions etc.

PSP Bank:

  1. PSP Bank is a member of UPI and connects to UPI for availing UPI payment facility and providing the same to the TPAP which in turn enables the End User/ Customers / merchants to make and accept UPI payments.
  2. PSP Bank, either through its own app or TPAP’s app, on-boards and registers the End User/ Customers on UPI and links their Bank Accounts to their respective UPI Number.
  3. PSP Bank is responsible for authentication of the End User at the time of registration of such End User, either through its own app or TPAP’s app.
  4. PSP Bank engages and on-boards the TPAPs to make the TPAP’s UPI app available to the End User/ Customers.
  5. PSP Bank has to ensure that the TPAP and its systems are adequately secure to function on UPI.
  6. PSP Bank is responsible to ensure that UPI app and systems of TPAP are audited to safeguard security and integrity of the data and information of the End User/ Customer including UPI transaction data as well as UPI app security.
  7. PSP Bank has to store all the payments data including UPI transaction data collected for the purpose of facilitating UPI transactions, only in India.
  8. PSP Bank is responsible to give all Customers an option to choose any Bank Account from the list of banks/ accounts/ instruments available on UPI for linking with the Customer’s UPI Number
  9. PSP Bank is responsible to put in place a grievance redressal mechanism for resolving complaints and disputes raised by the End User/ Customer.

PhonePe (TPAP):

  1. PhonePe is a service provider and participates in UPI through PSP Bank(s), as a TPAP.
  2. PhonePe is responsible to comply with all the requirements prescribed by PSP Bank and NPCI in relation to TPAP’s participation in UPI.
  3. PhonePe is responsible to ensure that its systems are adequately secure to function on UPI.
  4. PhonePe is responsible to comply with all Applicable Laws  prescribed by any statutory or regulatory authority in relation to UPI, and PhonePe’s participation in UPI, including all circulars and guidelines issued by NPCI in this regard.
  5. PhonePe has to store all the payments data including UPI transaction data collected by it for the purpose of facilitating UPI transactions, only in India.
  6. PhonePe is responsible to facilitate RBI, NPCI and other agencies nominated by RBI/ NPCI, to access the data, information, systems of PhonePe related to UPI and carry out audits of PhonePe, as and when required by RBI and NPCI.
  7. PhonePe will facilitate the End User/ Customer with an option to raise grievance through PhonePe’s grievance redressal facility made available through PhonePe App or website and such other channels as may be deemed appropriate by the PhonePe like email, messaging platform, IVR etc.

Charges

PhonePe does not charge its Users any fee for creating a PhonePe Account; however, We reserve the right to change the fee policy from time to time, subject to Applicable Laws. We may introduce fees (with applicable taxes) for any new services or amend/introduce fees for existing services. Changes to the fee(s) will be displayed accordingly to You either via the PhonePe App/ website/ PhonePe Platform, and such changes will automatically become effective immediately after they are posted. Unless otherwise stated, and for UPI International, all fees will be quoted in Indian Rupees. Your Issuer may charge You a nominal transaction fee for certain UPI transactions- please check with Your Issuer for any such charges.

Transaction Monitoring

PhonePe may review Your activity and transactions for identifying risky transactions. We may also engage third party providers to assist Us in these efforts. In case any transaction processed by You is suspicious/ unusual, or We come across any other activity that We believe may be suspicious or unusual, We may temporarily or permanently suspend Your access to PhonePe UPI/ PhonePe App, or take such other action as We deem fit.

Your transaction may be rejected due to reasons not limited to risk management, suspicion of fraud, illegal transaction, buying/selling of prohibited items, use of compromised or blacklisted cards or UPI or Bank Accounts, chargebacks/complaints, or for other reasons as prescribed by Applicable Laws, or for such other reason as We/ Issuer/ NPCI/RBI may deem fit. We may further investigate and suspend or terminate Your PhonePe Account or take any other action We deem fit. We may also report the transaction and Your details to relevant authorities, including any law enforcement agencies or other regulatory authorities as applicable or notified by law.

Grievance Redressal

PhonePe has tripartite agreements with Our sponsor PSP Banks and NPCI, and We are obligated to facilitate grievances / complaints filing and resolution for the Customers, via the PhonePe App.

We will be the first point of contact for all UPI related grievances/complaints for Customers on- boarded by us. In case We are unable to resolve Your complaint/grievance, the next level for escalation will be the PSP Bank, followed by Your Issuer (where You maintain the Bank Account), and then NPCI, in the same order. Even after exercising these options if Your grievance is not addressed, You can approach the Banking Ombudsman and/ or the Ombudsman for Digital Transactions, as the case may be.

a) Raise grievance to PhonePe:

  • On the PhonePe App, You can select the relevant UPI transaction and raise a complaint in relation thereto.
  • You can raise a complaint with PhonePe with respect to all UPI related grievances / complaints, if the UPI transaction is made through the PhonePe App.
  • Once You raise a complaint on the PhonePe App, You can check the status of Your complaint on the PhonePe App itself, or by any other means as PhonePe may make available to You.If you have made the UPI transaction via any other TPAP App, please raise the complaint via such TPAPs App.

b) Escalate grievance to PSP Bank:

  • In case the complaint / grievance remains unresolved, the next level for escalation will be the concerned PSP Bank. You can reach out to the PSP Bank at the contact details provided below:

Indemnity & Liability

In no event will PhonePe be liable for any indirect, consequential, incidental, special or punitive damages or liabilities (including statutory), including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the PhonePe UPI, PhonePe Services, PhonePe Platform, and/or the PhonePe App. The liability, if any, shall in no event exceed the amount of the Valid transaction giving rise to the cause of action, or Rupees One Hundred (Rs. 100), whichever is lesser.

You shall indemnify and hold harmless PhonePe, PhonePe Entities, its owners, licensees, (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party, and/or penalty imposed due to or arising out of Your usage of PhonePe UPI/ PhonePe Platform/ PhonePe App/ PhonePe Services, Your breach of this UPI ToU, Privacy Policy, the Terms and other policies/ terms, and/or Your violation of any Applicable Laws or the rights (including infringement of intellectual property rights) of a third party.

Termination and Other Actions

You agree that PhonePe, at its sole discretion, may terminate or suspend Your PhonePe Account without prior notice, and/or restrict or prohibit Your access to the PhonePe App/ PhonePe Platform/ PhonePe Services, or any part thereof, or to the whole or any part of PhonePe UPI, or take such other action as We deem fit, if We determine that You have/ may have violated any Applicable Law(s), or breached any UPI ToUs/ Terms, or any other terms and conditions as applicable to you on the PhonePe App/ PhonePe Platform, or if We are directed to do so by regulators/ governmental or other authorities, or for any other reasons as PhonePe may deem fit.

You further consent that in case PhonePe suffers losses, not limited to monetary losses, due to Your actions/ inactions, We can take injunctive relief as deemed necessary within the said circumstances.

All Your information/ data will be handled as per the terms of the Privacy Policy and any Applicable Laws. PhonePe may also retain Your registration information, such as Your name, email id and mobile number, VPAs, and any transactional or other information, that We are required, including under Applicable Laws, for such duration as maybe specified under Applicable Laws or as notified by NPCI from time to time or as per Our policies, even after the termination of Your contract with PhonePe.

Governing Law & Jurisdiction

This UPI ToU and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this UPI ToU, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. The Courts in Bengaluru, Karnataka shall have exclusive jurisdiction over all matters connected with this UPI ToU.

Your transaction records and other logs maintained with Us shall be final and binding as a proof of the transaction and Your use of UPI/ PhonePe UPI.
